Buy a Business in Louisville, KY With Expert Guidance

Looking to buy a business in Louisville, Kentucky or nearby areas? Hi, I’m Raphael Collazo. As a CCIM advisor and business broker, I help entrepreneurs and investors buy existing businesses that already have real customers, trained staff, and proven cash flow.

Starting a company from scratch is risky. When you purchase a working business, you start making money on day one. My team helps you find the right company, check its tax returns and financial books, and guide you through bank financing all the way to closing day.

Skip the Startup Risk and Step Into Immediate Cash Flow

Most new startups fail in their first three years because they run out of cash while trying to find customers. When you buy business operations that are already up and running in Louisville, Kentucky, you get four major advantages:

Immediate Monthly Profit

The business already pays its bills and puts profit in the owner’s pocket from the day you take over.

Trained Employees & Systems

You inherit experienced workers, vendor accounts, equipment, and working systems instead of building everything yourself.

Easier Bank Financing

Banks hate lending to unproven startups. However, SBA lenders gladly finance up to 80% to 90% of a profitable existing business because it has 3 years of tax returns to prove its income.

Owner Training Included

In almost every deal we structure, the retiring seller stays on for 30 to 90 days after closing to train you and introduce you to key customers.

Access Both Listed and Off-Market Companies

Many buyers spend months browsing online portals looking for businesses to purchase, only to find overpriced restaurants or companies with messy books. Because good companies sell privately to protect their employees and customers, you will never see their real names advertised in public. Here is how I help you find the right business to purchase:

01

Private Buyer Registration

We sit down to review your background, cash available for a down payment, and how much yearly income you want to earn.

02

Confidential Deal Access

Once you sign a simple Non-Disclosure Agreement (NDA), I share detailed financial packets on vetted companies in Louisville, KY and nearby areas.

03

Direct Owner Outreach

If you want a specific type of company (such as an HVAC company, distribution firm, or local service business), I reach out directly to local business owners who are ready to retire.

How We Protect Your Money From First Look to Closing

Buying a company requires careful homework. I walk you through five simple steps so you never buy a "lemon":

Step What We Do Together Why It Protects You
1. Goals & Budget We review your skills, down payment funds, and target yearly income (Seller’s Discretionary Earnings). Focuses your search only on businesses you can afford and run successfully.
2. Financial Review After you sign an NDA, we review the seller’s Profit & Loss statements, balance sheets, and tax returns. Shows you how much real cash the business puts in the owner’s pocket each year.
3. Valuation & Offer We calculate a fair price based on industry multiples and submit a Letter of Intent (LOI) with strong protections. Makes sure you never overpay and keeps your deposit safe while we inspect the books.
4. Deep Due Diligence Along with your CPA and attorney, we check bank statements, tax filings, equipment, customer contracts, and building leases. Confirms that every dollar the seller claimed is 100% real before you close.
5. SBA Loan & Handover We help you finalize your SBA 7(a) bank loan, coordinate lease transfers, and set up your post-closing training with the seller. Ensures a smooth handover so staff and customers stay with you.

Simple Ways to Pay for Your Business Acquisition

You do not need millions of dollars in cash to buy a strong company. Most buyers in Louisville, KY combine three funding sources:

SBA 7(a) Acquisition Loans

The most popular way to buy a business. You typically put down 10% to 15% in cash, and the bank finances the rest over 10 years (or up to 25 years if commercial real estate is included in the deal).

Seller Financing (Seller Note)

In many deals, the retiring owner agrees to finance 10% to 20% of the purchase price. This lowers your upfront cash needed and gives the seller a strong reason to help you succeed after closing.

Conventional Loans or Cash

For smaller acquisitions or corporate bolt-on purchases, buyers often use cash, home equity, or a commercial line of credit.

Common Questions About Buying a Business

Clear information about cash requirements, SDE valuations, NDA protocols, and lease security:

In most cases, you need 10% to 20% of the purchase price in cash for a down payment, plus some working capital in the bank. For example, to buy a business priced at $500,000 using an SBA loan, you will typically need around $50,000 to $75,000 down.
Main street and lower middle-market businesses are usually priced as a multiple (often 2x to 4x) of their annual Seller’s Discretionary Earnings (SDE) or EBITDA (the total pre-tax profit and owner pay the business generates each year), plus the value of any real estate or high-value inventory included.
If employees, customers, or competitors find out a company is up for sale before the deal is done, key staff might quit and competitors might steal customers. Signing a Non-Disclosure Agreement (NDA) protects the business you are about to buy.
Because I am also a CCIM commercial real estate broker, I never let you buy a business without locking in the building lease first. We make your purchase contract contingent on getting a fair lease extension or buying the building alongside the business.
